What our company services team does.

We handle the full life of a company: registration and constitutions, name reservations and changes, share issues, transfers, buy-backs and forfeitures, officeholder changes, register reconstruction, deregistration and reinstatement.

Every engagement starts with the same question: what is this structure meant to achieve? Share classes, constitutions and shareholder terms are far cheaper to set correctly at the start than to unwind after a dispute or a sale.

Company documents are read by banks, buyers, auditors and courts. A template that looks fine today is expensive when someone finally reads it properly.

Why it pays to have this done properly.

Documents prepared by a lawyer

Every deed, constitution and resolution is drafted or reviewed by a commercial lawyer, not generated from a form.

Fixed fees, quoted first

You know the professional fee and the government charges before we start work.

Lodgements handled

ASIC, State Revenue Office and ATO lodgements are attended to as part of the engagement.

Is this you?.

  • You are incorporating, restructuring or closing a company
  • A shareholder is coming in or going out
  • ASIC records and your understanding of ownership do not match
  • A buyer, bank or auditor has asked for company documents you cannot find

If any of these sound familiar, a short conversation will tell you whether this is the right document, and what it costs, before you commit.

How it works.

  1. 01

    Tell us what you need

Start online or call us. We take short instructions, names, roles, structure and timing, and confirm this is the right document for what you are actually trying to achieve.

  2. 02

    We check the detail

We confirm eligibility, consents, existing documents and any tax or duty consequence before drafting, so nothing is discovered after lodgement.

  3. 03

    We prepare and lodge

We draft the documents your matter requires, send it for signing with clear instructions on who signs what and when, and attend to any ASIC, State Revenue Office or ATO lodgement.

  4. 04

    You get a complete file

You receive executed documents, registers and confirmations in a single organised pack, plus a short note on what to keep and what happens next.

Fees.

Almost all company work is fixed fee and quoted before we start, with ASIC fees itemised separately at cost. Larger restructures are scoped in a short call and quoted in writing.

FAQs

Frequently asked questions.

Still unsure? Call us on (03) 9008 7224 and speak to a lawyer, not a call centre.

Can you register a company the same day?
Yes. With director IDs and the share structure confirmed, registration is usually completed the same business day.
Do you handle the ASIC lodgements?
Yes, registrations, changes and applications are lodged for you, with ASIC fees itemised at cost.
Do I need a lawyer rather than an online service?
For a plain single-director company, perhaps not. Once there are multiple owners, share classes, trusts or investors involved, the document is what decides the argument later.
